The Collins Office of the General Counsel (OGC) Entity Management Team (“EMT”) creates, manages, maintains and dissolves legal entities around the world. As a Senior Paralegal, Entity Management you will work under the supervision of OGC attorneys and the EMT leads.
Ideally, this position will be located in Charlotte, NC or Annapolis, MD however, remote work will also be considered for a non-local candidate.
Prepare corporate governance documents for US and non-US business entities, including: powers of attorney, proxies, certificates of incorporation, board and shareholder resolutions, by-laws, and other documents. Requires working effectively with Collins and RTX business units, corporate functional groups and third parties, including outside counsel located in the US and abroad.
Assist EMT leads and the teams in the Treasury, Tax and other functional groups with projects, including restructurings, recapitalizations, dividend declarations, treasury agreements/ documents and bank account updates.
Arrange for document notarization and apostilles/authentications; obtain good standing certificates, company extracts and similar documents.
Timely update and maintain subsidiary and affiliate database system (GEMS).
Maintain minute books, Director/Officer lists, shareholder registries and other corporate records.
Analyze processes, recommend improvements, and develop and implement policies and procedures.
Promptly and completely respond to internal and external information requests regarding Collins/RTX business entities.
Assist with MA&D and post-acquisition integration activities.
Prepare delegations as requested by BUs and various functional groups.
Prepare certificates of incumbency and signature authority as requested by banks, customers and other outside third parties.
Prepare government filings for US and non-US subsidiaries, including acting as a key contact in the preparation and filing of annual US state reports.
Assist with other projects as needed, including some administrative tasks such as filing and data updates/tracking and any other tasks as may be required within the Entity Management Team.
Negotiate flat fees with outside firms, review invoices, and submit for approval.
HS Diploma and equivalent
Minimum 3 years of paralegal experience
Minimum 1 year experience in an international corporation or law firm
Professional attitude and ability to maintain confidentiality.
Appointment as a Notary Public in State/County of hire or the ability and willingness to obtain
Ability to handle heavy workload as part of a geographically dispersed team that supports multiple internal customers including senior management.
Ability to work in a team-oriented environment, ability and willingness to develop new competencies and undertake expanded responsibilities once core competencies are mastered.
Ability to work with minimal daily supervision, multitask and timely manage and prioritize numerous projects effectively while maintaining attention to detail.
Advanced computer skills including database experience.
Experienced Microsoft Office 365 user.
Must be a US Person/ Permanent Resident 'Green Card' Holder
Associates Degree and/or Paralegal Certificate from an ABA-approved program
Fluent in Spanish, written and verbally.
